GENERAL TERMS AND CONDITIONS OF SALE (GTC)

  1. These General Terms and Conditions of Sale (hereinafter "GTC") govern any order placed on the site www.koomswitzerland.com(hereinafter the "Site") and/or any sale made by KOOM (hereinafter "KOOM", "we", "our").
  2. Scope and acceptance
  3. By placing an order, the customer (hereinafter the "Customer") acknowledges having read the GTC and accepts them without reservation.
  4. The Customer expressly waives their own general conditions, even if these were established after the present GTC. Any deviation from the GTC is only valid if it has been agreed upon in advance and in writing.
  5. Products
  6. KOOM sells beverages (notably hibiscus-based drinks "Bissap") and/or beverage packs, as presented on the Site.
  7. The visuals, descriptions, ingredients, and nutritional information are provided for informational purposes only. In case of discrepancies, the information on the labeling of the delivered product prevails.
  8. Sales and delivery area
  9. The products are offered for sale and delivered only in Switzerland, unless otherwise agreed in writing.
  10. Prices
  11. Prices are indicated in Swiss francs (CHF), unless otherwise stated, and are inclusive of all taxes (VAT) where applicable, excluding delivery charges.
  12. KOOM reserves the right to change its prices at any time. The applicable price is the one displayed at the time of order confirmation.
  13. Order
  14. The Customer places an order via the Site (or through any other channel accepted by KOOM for professional orders).
  15. KOOM reserves the right to refuse or cancel any order in the event of an existing dispute with the Client, suspicion of fraud, incomplete information, or non-payment of a previous order.
  16. Payment
  17. 6.1. Terms
  18. Payment is made according to the methods offered at the time of the order.
  19. 6.2. Payment on account (B2B)
  20. Unless a different deadline is indicated on the invoice or purchase order, our invoices are payable within 15 business days.
  21. In the event of non-payment by the due date, KOOM reserves the right to claim flat-rate interest of 10% of the outstanding amount. KOOM is authorized to suspend any supply of products and/or services without prior notice in the event of late payment.
  22. If a payment remains unpaid for more than sixty (60) days after the due date, KOOM reserves the right to engage the services of a collection agency. All legal and collection fees will be the responsibility of the Client.
  23. 6.3. Withholding tax (clients outside Switzerland)
  24. Some countries apply withholding tax on the amount of invoices, in accordance with their internal legislation. Any withholding tax is paid by the Client to the competent tax authorities.
  25. KOOM cannot in any case be involved in costs related to the legislation of the Client's country. The invoice amount is due to KOOM in full and does not include costs related to the legislation of the country in which the Client is located.
  26.  Delivery
  27. 7.1. Delivery charges
  28. Delivery charges are indicated at the time of the order.
  29. For e-commerce (B2C) orders delivered in Switzerland, the delivery fee is set at CHF 9.– (including VAT), unless otherwise stated at the time of the order.
  30. For business (B2B) orders, the delivery fees depend on the delivery location and the quantities ordered. They are communicated to the Client before validation and are charged excluding taxes (net), unless otherwise stated.
  31. 7.2. Delivery Times
  32. Delivery times are provided as an indication. KOOM makes its best efforts to deliver within the announced times, without this constituting an obligation of result.
  33. For Switzerland, the estimated delivery time is generally 2 to 5 working days from the order confirmation, unless there are special circumstances (peak periods, events, force majeure, etc.).
  34. 7.3. Transfer of Risks
  35. The transfer of risks occurs at the moment the products are handed over to the carrier (or at the moment of handover to the Client in case of pickup).
  36. Claims, Compliance, and Damages
  37. The Client is required to check the condition and compliance of the products upon receipt.
  38. To be admissible, any claim must be notified to KOOM by email atcontact@koomswitzerland.comwithin 2 days from the delivery of the products (or the provision of services), specifying the order number and necessarily attaching:

    • readable photos of the package (outside and inside)

    • readable photos of the products concerned

    • and, if available/visible, a photo of the label mentioning the batch (or any traceability information)

  39. In the absence of these elements, KOOM may refuse to process the claim.

    KOOM cannot in any case be held liable to appear as a third party in a claim for damages brought against the Client by a final consumer.

9. Returns, exchanges, and right of withdrawal (B2C)

    9.1. Principle

    Given the nature of the products sold (beverages/food), returns and exchanges are generally not accepted.

    9.2. Exceptions (non-compliant, damaged product, preparation error)

    A return, exchange, or refund may only be considered in the following cases:

    • product delivered not in accordance with the order

    • product damaged upon delivery

    • preparation error (wrong item)

  1. In these cases, the Client must contact KOOM as soon as possible and provide elements to assess the situation (e.g., photos of the package and products, order number).

    9.3. Unsealed products

    For hygiene and food safety reasons, no return or refund will be accepted for unsealed/opened products after delivery, except in cases of non-compliance or proven defect.

10. Order cancellation and modification

    Once the order is confirmed, no cancellation or modification (address, order content, quantities, etc.) is possible, except with the express written agreement of KOOM.

11. Liability

    KOOM is committed to providing compliant products and fulfilling its obligations diligently.

    Unless otherwise provided by mandatory legal provisions, KOOM's liability is limited to direct and foreseeable damages. KOOM cannot be held responsible for indirect damages (loss of business, loss of profit, etc.).

12. Personal Data

    The processing of the Client's personal data is described in our Privacy Policy available on the Site.

13. Intellectual Property

    All elements of the Site (texts, visuals, logos, trademarks, etc.) are protected. Any unauthorized reproduction or use is prohibited.

14. Applicable Law and Jurisdictione

    All our contractual relationships are governed exclusively by Swiss law.

    Unless otherwise provided by mandatory provisions, any dispute relating to the General Terms and Conditions and/or sales will be submitted to the competent courts of KOOM's headquarters.
